Terms of Service

The agreement between the Customer and RSDLive LLC for use of the SpeedProd ControlRoom service.

1. Acceptance

These terms govern the use of the SpeedProd ControlRoom service ("the Service"), operated by RSDLive LLC ("the Provider"). By placing an order, completing payment, or using the Service, the person and organization placing the order ("the Customer") accepts these terms. If the terms are not accepted, the Service must not be used.

2. The Service

The Service provides cloud production servers and a media relay for sending and receiving live video streams, together with related monitoring and management tools. Server availability, regions, and specifications are as described at the time of order and may change.

4. Payment, late payment & suspension

Payments are processed by Stripe. The Customer authorizes recurring charges to the payment method on file. If a charge fails or an invoice is unpaid, the Service may be suspended or terminated and outstanding amounts remain due. Reinstatement after suspension is not guaranteed.

5. Cancellation & refunds

The Customer may cancel a server's monthly subscription at any time; cancellation stops future renewals. Base fees and metered usage already incurred are non-refundable, and partial months are not pro-rated unless stated otherwise in writing.

6. Acceptable use

The Customer must not use the Service to transmit, store, or distribute content that is unlawful, infringes any third party's rights, or violates the terms of any platform the stream is sent to. The Customer must not resell or sublicense the Service without written permission, attempt to disrupt or gain unauthorized access to the Service or other customers, or use it in a way that degrades the platform for others.

7. Content & the Customer's responsibilities

The Customer is solely responsible for all content sent through the Service and warrants that it holds all rights, licenses, and consents required to broadcast it. The Customer is responsible for safeguarding access credentials, stream keys, and VPN (Tailscale) network access provided with the Service.

8. Availability

The Service is provided on a commercially reasonable, best-effort basis. No specific uptime is guaranteed unless agreed in a separate written service-level agreement. Maintenance, third-party outages (including cloud and content-delivery providers), and network conditions may affect availability.

9. Data & privacy

The Provider stores the account, order, billing, and operational data needed to run the Service. Live video passes through the relay to deliver and forward streams; it is not retained as a recording unless a recording feature is explicitly enabled. Payment-card details are held by Stripe, not by the Provider. VPN access is provided over Tailscale for secure connectivity to the Customer's server.

10. Suspension & termination

The Service may be suspended or terminated for breach of these terms, non-payment, unlawful use, or risk to the platform or other customers. On termination, access ends and associated cloud resources may be stopped or removed.

11. Warranty disclaimer

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

12. Limitation of liability

To the maximum extent permitted by law, the Provider is not liable for indirect, incidental, special, or consequential damages, or for lost profits, revenue, data, or goodwill. The Provider's total liability for any claim relating to the Service is limited to the amount paid by the Customer for the Service in the three months preceding the event giving rise to the claim.

13. Indemnification

The Customer agrees to indemnify and hold harmless the Provider from claims, losses, and expenses arising out of the Customer's content, use of the Service, or breach of these terms.

14. Changes to these terms

These terms may be updated from time to time. Continued use of the Service after an update constitutes acceptance of the revised terms. The current version is always available at this page.

15. Governing law

These terms are governed by the laws of the State of Wisconsin, without regard to conflict-of-laws rules. Disputes are subject to the state and federal courts located in Milwaukee County, Wisconsin.
